- The price quoted for the Software, Documentation and other
products and services is net of all taxes. Thus, any taxes imposed
by any governmental authority having jurisdiction over the license
transaction shall be added to the quoted price on the invoice
submitted to the Licensee and (i) if the tax is imposed on SoftWright,
such tax shall be collected from the Licensee and remitted to
such governmental authority by SoftWright, and (ii) if the tax
is imposed on the Licensee, the Licensee shall withhold the tax
from the total invoice and remit the net price quoted thereon
to SoftWright. Provided, however, if SoftWright is unaware of
any tax imposed on the Licensee which is to be withheld by the
Licensee, the Licensee shall deem the invoice to include the
taxes in addition to the net price quoted and remit the taxes
to the governmental authority imposing same and remit the quoted
price to SoftWright.
